THESE TERMS REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.
By placing an order for products or services from this website, you affirm that you are of legal age to enter into this agreement, and you accept and are bound by these terms and conditions. If you place an order on behalf of an organization or company, you affirm that you have the legal authority to bind such organization or company to these terms.
You may not order or obtain products or services from this website if you:
Do not agree to these terms;
Are not the older of (i) at least 18 years of age or (ii) legal age to form a binding contract with Morphware; or
Are prohibited from accessing or using this website or its contents, goods, or services by applicable law.
1. Scope of Terms
These terms and conditions ("Terms") apply to the purchase and sale of products and services through https://morphware.org/ (the "Site"). These Terms are subject to change by Morphware ("us", "we", or "our") without prior written notice at our sole discretion. Changes will be effective as of the "Last Updated Date" referenced on the Site. You should review these Terms before purchasing any products or services. Your continued use of the Site after the "Last Updated Date" constitutes your acceptance of such changes.
These Terms are integral to the Website Terms of Use and our Privacy Policy, which you should also review.
2. Order Acceptance and Cancellation
Your order is an offer to buy, under these Terms, all products and services listed in your order. All orders must be accepted by us, and we are not obligated to sell products or services until acceptance. We may choose not to accept orders at our sole discretion, even after sending a confirmation email with your order number and details.
3. Unauthorized Use
You may not use the Site for unauthorized, illegal, or unlawful purposes. Unauthorized use or violation of these Terms may terminate your right to access the Site or Services and may result in legal liability. Examples of unauthorized use include, but are not limited to:
Copying, modifying, or distributing content from the Site without prior written consent;
Collecting usernames or email addresses for unsolicited emails;
Engaging in criminal or tortious activity, such as fraud, spamming, or copyright infringement;
Interfering with or disrupting the Site or its networks;
Using automated systems to extract data for commercial purposes ("screen scraping");
Impersonating another user or disclosing account credentials to third parties;
Using the Site for harassing, threatening, or abusive purposes.
4. Compliance with Laws
By using the Site or Services, you represent and warrant that you comply with all applicable laws in your jurisdiction, including legal requirements for purchasing Morphware Tokens, obtaining necessary consents, and addressing tax consequences. You further warrant that you, your affiliates, or beneficial owners do not:
Appear on the U.S. Office of Foreign Assets Control (OFAC) Specially Designated Nationals and Blocked Persons List;
Reside in or are organized under the laws of sanctioned regions (e.g., Crimea, Cuba, North Korea, Iran, Syria);
Are identified as a terrorist organization by any governmental authority.
5. Registration and Account
To participate in the Morphware peer-to-peer network, you must create a Morphware account by connecting an Ethereum-compatible wallet. You are responsible for:
All activities under your account, whether authorized or not;
Maintaining the confidentiality of your wallet and restricting device access;
Notifying us immediately of unauthorized use or security breaches;
Not selling, transferring, or assigning your account.
We are not liable for losses or damages from third-party wallet systems, unauthorized account access, or failure to secure your account. We reserve the right to terminate accounts or request additional information to ensure security.
6. Termination of Access and/or Account
We may limit, suspend, or terminate your access to the Site, Services, or account at any time, with or without notice or cause. Termination may occur due to suspected fraud, abuse, or breach of these Terms. We may refer illegal activities to authorities. Decisions regarding termination or suspension are final and binding.
7. Prices and Payment Terms
All prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect when the order is placed, as confirmed in your order confirmation email. Prices do not include taxes, which will be added to your total and itemized. We reserve the right to correct pricing errors or cancel orders arising from such errors.
Promotions may have separate terms that govern in case of conflict. Payment terms are at our discretion, and payment must be received before order acceptance. We accept Ether and Morphware Tokens. You represent that your payment information is accurate, authorized, and will be honored.
8. The Bidding Process
Data Scientists post job descriptions for model training, including Morphware Token rewards, computational requirements, and Jupyter-notebook/training data.
Workers specify their computational capacity and bid on jobs. The contract price is revealed after the bidding period.
After bidding, a Data Scientist and Worker are paired. The Worker downloads the untrained model, training data, and Jupyter-notebook.
The Worker trains the model, and the Data Scientist confirms completion.
A validator verifies the job, and the trained model is sent to the Data Scientist. The Worker is paid via the auction contract.
9. Assumption of Risk
Morphware Tokens and cryptocurrencies are volatile and have no inherent value. Transactions are at your own risk, and there is no guarantee of resale value. You acknowledge that you have sufficient information and financial resources to withstand a complete loss. Morphware Tokens are for entertainment purposes only and not intended for resale. Morphware is not responsible for losses from transactions or decisions to bid, buy, or sell Tokens.
10. Tokens Are Not Investments
Morphware Tokens are not investments. You purchase Tokens solely for participation in the Morphware network, not for profit. You acknowledge that Morphware is not liable for losses due to loss of wallet private keys and that you have sought independent legal, financial, and tax advice.
11. Third-Party Transactions
Transactions with third parties (e.g., other users or vendors) are solely between you and the third party. Morphware is not responsible for third-party transaction terms, warranties, or issues. Any warranties are provided by the third party, not Morphware.
12. Delivery; Title and Risk of Loss
We arrange for services to be performed, with delivery estimates provided on product pages. You are responsible for gas charges during ordering and smart contract execution. Delivery dates are estimates, and we are not liable for delays, including those due to Worker equipment malfunctions.
13. Returns and Refunds
Non-final sale products may be returned within 30 days of purchase with proof of purchase and valid cause (e.g., Worker’s inability to fulfill an order). Contact our Returns Department for a Return Merchandise Authorization (RMA) number. No returns are accepted for started or completed projects. You are responsible for gas fees on returns and bear the risk of transaction malfunctions. Refunds are processed within approximately three business days to the original payment method. Non-returnable products are not eligible for refunds.
For defective products, refer to the manufacturer’s warranty.
14. Gas Fees
Services on the Ethereum blockchain incur variable gas fees, which are not set or received by Morphware. You are responsible for these third-party transaction fees.
15. Manufacturer’s Warranty and Disclaimers
We do not manufacture or control products or services on the Site and provide no warranties. All products and services are provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement. Some jurisdictions may not allow these disclaimers. We are not liable for Worker warranty breaches.
16. Limitation of Liability
We are not liable for consequential, indirect, incidental, special, punitive, or enhanced damages, lost profits, or diminution in value, regardless of foreseeability or legal theory. Our maximum liability is limited to the amount you paid for products or services. This limitation does not apply to gross negligence, willful misconduct, or death/bodily injury caused by us, where prohibited by law.
17. Indemnity
You agree to indemnify and hold Morphware harmless from losses, claims, or demands arising from:
Your use of the Site or Services in violation of these Terms;
Infringement by your submitted content or Morphware Tokens;
Violation of applicable law;
Your activities or omissions related to the Site or Services.
18. Goods Not for Resale or Export
Products and services are for personal or household use only, not for resale or export.
19. Privacy
Our Privacy Policy governs the processing of personal data collected through the Site.
20. Force Majeure
We are not liable for performance failures due to circumstances beyond our control, such as acts of God, war, or telecommunication breakdowns.
21. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of [Insert State], without regard to conflict of law provisions.
22. Change in Regulation
Changes in law or regulation may require adjustments to Tokens, the Platform, or Services. Morphware is not liable for actions taken or not taken due to regulatory changes.
23. Dispute Resolution and Binding Arbitration
You and Morphware agree to resolve disputes exclusively through binding arbitration, waiving rights to court litigation, jury trials, or class actions. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs this provision. The arbitrator has authority to resolve disputes about arbitrability and can grant relief available in court. Arbitration awards are final and binding.
We will pay arbitration fees if you prevail on a claim allowing fee recovery. You may pursue claims in small-claims court instead of arbitration if notified within 60 days of purchase. Arbitration is on an individual basis; class or consolidated claims are not permitted.
If any arbitration provision is unenforceable, it will be severed, and the remaining terms enforced.
24. Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. Unauthorized assignments are null and void.
25. No Waivers
Our failure to enforce any provision does not waive future enforcement. Waivers are effective only if written and signed by Morphware.
26. No Third-Party Beneficiaries
These Terms confer no rights or remedies on anyone other than you.
27. Notices
To You: Notices will be sent via email or posted on the Site, effective upon sending or posting.
To Us: Notices must be sent by personal delivery, overnight courier, or registered/certified mail to [Insert Address]. We may update contact information via Site posting.
28. Severability
If any provision is invalid or unenforceable, it will be severed, and the remaining provisions will remain enforceable.
29. Rule of Construction
The rule that contracts are construed against the drafter is waived. Each party acknowledges legal counsel representation or the opportunity to retain counsel.
30. Entire Agreement
These Terms, our order confirmation, Website Terms of Use, and Privacy Policy constitute the final agreement between you and Morphware.
